As a result of strategic planning and the inherent opportunities of growth, it is often the determination that an entity is in need of corporate financing. The JMG professionals have structured a wide variety of investment vehicles including: working capital revolving credit facilities usually secured by assets, secured or unsecured term loan facilities, subordinated or mezzanine debt, convertible debt, joint venture financing, strategic equity placements and bridge financing. This knowledge and experience enables us to assist our clients in choosing the capital structure that best meets their objectives – whether it is to finance growth or acquisition, recapitalize the company, broaden the shareholder base or to best achieve certain tax planning strategies.
Once the financial instrument(s) have been selected, the structure and covenants are carefully designed to provide maximum flexibility within market-accepted limitations. After the optimum capital structure is complete, we then prepare a detailed offering memorandum or prospectus, arrange legal representation, create presentation materials and introduce the company to the financial/investment community.
